(including Privacy terms)

Welcome to the KodaTel APP (the “App”) from KodaTel Communications Corp. and its affiliates (collectively, “KODATEL” or “we” or “us”). Through the App we offer our customers the ability to access and use a wide range of products, services and features. KODATEL provides the App and the products, services and features to you subject to the following License. Please read this License carefully as this is a legal agreement between you and KodaTel Communications Corp governing your use of the App.

These terms of use (“agreement”) for the application (defined below) are a legal and binding agreement between you (“you”, “your” or “yourself”), as the end user, and KodaTel Communications Corp (“KODATEL”“we”, “us”, OR “we” ) which governs your use of the application and services (defined below) made available to you with the application by kODATEL (including through third parties) (collectively “services”). Please read this agreement carefully before using the application and the service.

By registering for or otherwise accessing or using the application / service, or any component thereof, in any manner whatsoever, you (a) acknowledge that you have read and understood this agreement and consent to become a party, (b) represent that you are in compliance with all requirements hereunder, and (c) agree to be bound by and comply with the terms and conditions in this agreement.

The application and the service is offered and made available only to users who are lawful owners of, or, at the responsibility of such owners, have the necessary authorization for using, the msisdns (defined below) and devices (defined below), and for making payments through or in connection with the use of the service. If you are not such a user, please discontinue the registration process and use of the services immediately, or if you do not accept and agree to all the terms and conditions of this agreement, please discontinue the registration process and do not access or use the application and the service.

YOUR PRIVACY IS IMPORTANT TO US. THE APPLICABLE KODATEL SERVICE PROVIDER RECEIVES OR COLLECTS INFORMATION FROM YOU WHEN YOU USE THE APP, INCLUDING WHEN YOU INSTALL THE APP AND WHEN YOU USE OR ACCESS THE SERVICES AND PRODUCTS AVAILABLE THROUGH THE APP. THIS LICENSE CONTAINS PROVISIONS THAT DISCUSS WHAT INFORMATION WE RECEIVE OR COLLECT FROM YOU WHEN YOU USE THE APP AND HOW WE USE IT. IT ALSO CONTAINS LINKS TO THE PRIVACY POLICY/NOTICE APPLICABLE TO YOU. SEE SECTIONS 1.1, 1.2, 2.3 AND 3.2 BELOW FOR DETAILS.

THIS LICENSE CONTAINS INFORMATION ABOUT YOUR LEGAL RIGHTS AND REQUIRES THAT DISPUTES BE RESOLVED THROUGH ARBITRATION INSTEAD OF A COURT TRIAL.

IT ALSO CONTAINS A LIMITATION OF LIABILITY PROVISION. SEE SECTIONS 6.3 AND

6.12 BELOW.

  1. Available Services

    1. Availability. A particular Service may not be available in your country - please refer to Section 2.3 for details on what Services are available in your country prior to attempting to use a Service.

    1. Our Services. In addition, we offer additional Services (if and when available in your country) that may be accessed through the App (though you will be redirected to a website or another app to purchase and complete your transaction for these Services), including:

International Mobile Top Up which allows you to recharge the airtime of a mobile phone of certain international third party providers in certain international countries (“IMTU”). The applicable Service Terms for IMTU are based upon the country of the phone number you use to register with us to use the App and can be found at the links provided in Section 2.3 below; Domestic Mobile Top Up which allows you to recharge the airtime of a mobile phone of certain domestic third party providers in the customers’ country (“DMTU”). The applicable Service Terms for DMTU are based upon the country of the phone number you use to register with us to use the App and can be found at the links provided in Section 2.3 below; and

    1. Availability. A particular Service may not be available in your country - please contact us to determine if a Service is available in your country prior to attempting to use that Service.

    2. Canadian Service Providers. In Canada (a) KodaTel Communications Corp is the Service Provider of KODATEL Mobile and KODATEL Pinless and the telecommunication services underlying KODATEL Mobile and KODAEL Pinless are provided by our affiliate KODATEL GROUP Inc. and the third party carriers we engage, (b) IMTU and DMTU are distributed and processed by KodaTel Communications Corp. and the underlying services for IMTU and DMTU are provided by Third Party Operators (as defined in Section 6.4) and (c) Money Transfer is provided by KODATEL Payment Services Inc, a licensed money transmitter. For the Service Provider in your country, see Section 2.3 of this License.

  1. Acceptance of Terms

    1. Using the App. This License applies to your use of the App and you must agree to this License in order to use the App or any Service through the App. By accessing the App, or using any Service through the App, you acknowledge that you have read, understood and have agreed to be bound by this License, including any future modifications. If you do not agree with this License, then you should not use or access the App or any Service through the App.

    1. Information Posted in the App. Your use of the App is also subject to any disclosures, limitations, terms and conditions regarding the use of a Service that are posted in the App, including any price or charge for a Service.

    1. Specific Service Terms. When you use a particular Service you will also be subject to the terms, conditions and agreements applicable to that specific Service, including Terms of Use, Privacy Policy and Reasonable Use Policy (collectively, “Service Terms”), which are based upon the country of the phone number you use to register with us to use the App. Many important terms and conditions related to a Service and your rights are contained in the applicable Service Terms. By using a Service through the App you agree to comply with the Service Terms applicable to you. The applicable Service Terms, which apply to your use of a particular Service from anywhere in the world, can be found by using the links below. The applicable Service Terms are based upon the country of the phone number you use to register with us.

Service Provider for Kodatel Pinless, IMTU and DMTU: KodaTel Communications Corp Service

  1. Registration and Privacy

    1. Registering. In order to use the App you must register with us and create and fund an account (“Account”), which will be identified with your name, mobile phone number, security code (if applicable) and/or other personal information. If you successfully open an Account, we will send you a confirmation message with important information and instructions. The confirmation message will be sent either by SMS or in-App message to the phone number you registered or delivered by our automated IVR.

    1. Personal Information and Privacy.

  1. Information About You. You agree and confirm that the personal information that you provide to us shall be accurate, current and complete in all respects. You agree to update such information to keep it accurate, current and complete. You give us permission to verify all information you provide, including your email address and credit or debit card information. KODATEL reserves the right to suspend or terminate your use of the App and the Services if any information provided to us proves to be inaccurate, not current or incomplete.

  1. Information You Provide. You provide your name, mobile phone number and in some instances other personal information (e.g., email address) to us to create an Account. Depending on the particular Service you use, you may provide additional personal data directly to us, including your address, country of residence, and payment information. You may also provide us with information related to your use of our Services for customer support purposes, surveys, promotions, or product feedback.

  1. Other Information We Collect. We collect from you and your device certain technical data and related information, including information about your mobile device, system and application

software. that is gathered periodically to facilitate our provision of the App, Services, software updates and service support. We collect service related diagnostic and performance information, including how you use the App and the Services. This includes information about your activity (such as how you use our Services, how you interact with others using our Services), log files, and diagnostic, crash, website, and performance logs and reports. We collect device-specific information including model, browser, operating system, platform type, application software, mobile network, device identifiers and numbers, and Internet connection speed. You may provide and we collect certain data on your device, including your contacts, the phone numbers in your mobile address book, favorite lists and other installed apps. To help you organize how you communicate with others, we may upload your favorites list of your contacts, and you can create, join, or get added to groups and broadcast lists, and such groups and lists become associated with your account information. We collect device location information if you use our location features, such as when you choose to share your location with your contacts, view locations nearby or those others have shared with you, and for diagnostics and troubleshooting purposes such as if you are having trouble with our App’s location features.

  1. Advertising, Information and Scanning Content. The App may display and/or notify you of information you requested, advertisements, promotions and other information. This information and advertisements may be targeted to you and your content or other information stored in the App, or aggregated with other information that KODATEL may have about you. In consideration for KODATEL granting you access to and use of the App, you agree that KODATEL may digitally scan content stored in the App, including without limitation, your user information and message content. You further agree that KodaTel Communications Corp may use the scanned information to provide you with targeted information and advertising through the App.

  1. How We Use Information. We process your personal data to meet our legal, statutory and contractual obligations and to provide you with the App and our Services. More specifically, we process all the data we collect to help us operate, provide, improve, understand, customize, support, and market the App and our Services. In addition, we process data for general, operational and administrative purposes, including maintaining your account, authenticating you and contacting you. The terms “process,” “processing,” “use,” and “using” data include any operation or set of operations performed on personal data or on sets of personal data, including by automated means, such as collecting, recording, scanning, organizing, evaluating, analyzing, structuring, storing, adapting, altering, retrieving, consulting, using, combining, erasing or disclosing by transmission, dissemination or otherwise making available to our affiliates and to select third parties (as described your applicable privacy policy see Section 3.2E.). Sometimes we use automated means, including profiling, and other technologies to process your personal data. Profiling means any form of automated processing of personal data consisting of the use of personal data to evaluate certain personal aspects relating to a natural person, including to analyze or predict aspects concerning that natural person's personal preferences, interests and location. In addition, you share your information as you use and communicate through the App and our Services. When we share information with third-parties we require them to use the data only in accordance with our instructions, to protect your data and to limit their use of the data

solely for the purposes for which it was provided. Moreover, we require that these processors comply fully with relevant data protection laws and any other appropriate confidentiality and security measures. You should also note that our communications with you, including phone conversations and emails, may be monitored and recorded by us for quality assurance or for legal, regulatory or training purposes.

  1. Your Privacy Policy. Any personal data collected is collected by the applicable Service Provider and shall be subject to the terms of the Privacy Policy applicable to you, which can be found at the applicable links listed in either Section 1.1 (for Kodatel Mobile), Section 1.2 (for Money Transfer) or Section 2.3 (for Kodatel Pinless, IMTU and DMTU).

  1. App Functionality

    1. App-to-App Calls and Messaging. The App-to-App Service (“App-to-App”), if and when available in your country, allows users of the App to make free calls and send free messages to other users of the App. Generally, in order to use App-to-App both parties must have the latest version of the App (1.0 or higher) and communicate via either a data or WiFi connection. KODATEL does not charge for any call made or message sent using App-to-App, though we are not be liable for any charges payable to your mobile provider or any third party arising from your use of App-to-App. Your use of App-to-App is subject to our Reasonable Use Policy, which can be found at the applicable Service Terms link listed in Section 2.3 above.

    1. Making A Paid Call with the App. To make a paid call with the App, see your applicable Service Terms.

    1. Video Calling, Group Video and Group Voice. Video Calling, Group Video and Group Voice, if and when available in your country, allow users with certain devices to make free video calls, group video calls and group voice calls to/with other users of the App. In order to use these features both parties must have the latest version of the App (1.0 or higher), a compatible device and communicate via either a data or WiFi connection. KODATEL does not charge for any of these features. We will not be liable for any charges payable to your mobile provider or any third party arising from your use of these features. Your use of these features is subject to our Reasonable Use Policy, which can be found at the applicable Service Terms link listed in Section 2.3 above.

    1. In App Funding for Kodatel Mobile and Kodatel Pinless. If and when available and supported in your country or for your Service, you can add balance to your Account for KODATEL Mobile and Kodatel Pinless through the App by/using.

  1. Adding Funds to Your Account. You can fund your Account through the App by (i) redeeming a top-up card/voucher in the App, (ii) using your credit or debit card on file with us and/or (iii) using Paypal or your applicable App Store account. You will be able to add funds in such denominations and amounts as are displayed in the user interface from time to time in the

App. Amounts purchased through your iTunes or Google Play account will be billed/debited by Apple or Google (if and when supported). Once processed, all in App funding transactions are final and may not be exchanged, returned, refunded, transferred or reimbursed, except as set forth in the Service Terms applicable to you or as required by law.

  1. Adding Funds to Another Person’s Account; KODATEL BALANCE TRANSFER. KodaTel Balance Transfer service allows users of the App (version 1.0 or higher) to transfer some or all of their Account balance to another user’s Account, including an Account of a person residing outside their country, provided that the recipient has the App (version 1.0 or higher). When available, you can also fund another user’s Account using cash at an authorized KodaTel Communications Corp retailer. In order to transfer your balance using Kodatel balance Transfer you must recharge your Account at least once. Some exclusions apply to Kodatel balance Transfer based upon the recipient’s country and/or plan see the applicable links listed in either Section 1.1 (for KODATEL Mobile) or Section 2.3 (for KODATEL Pinless) for details. In addition, Kodatel balance Transfer cannot be used for the Money Transfer service. KODATEL does not charge any fees to use Kodatel balance Transfer.

    1. Purchasing IMTU, DMTU and Money Transfer. The App will provide you with access to the IMTU, DMTU and Money Transfer services (if the particular Service is available in your country) though you will be redirected to a website or another app to complete your transaction. The applicable website and/or other app will provide you with details on how to purchase the Service. In addition, you should also review the applicable Service Terms for the Service you wish to purchase, which can be found which can be found at the applicable links listed in either Section 1.2 (for Money Transfer) or Section 2.3 (for IMTU and DMTU).

    1. User Content and Submissions.

The App and some of the Services allow users to submit text, photos, videos, feedback and other communications (collectively, the “User Content”) to KODATEL or other users. KODATEL is not the source of, does not verify or endorse and takes no responsibility for the User Content. The User Content may be hosted, shared, and/or published as part of the App and its features, and may be visible to other users of the App. You shall be solely responsible for your own User Content and the consequences of posting or publishing it. KODATEL may, in its sole discretion, block or otherwise prevent delivery of User Content to or from the App or through the Services as part of our efforts to protect the App, our customers, or to otherwise enforce this License.

Please exercise respect when participating in any feature of the App that allows you to post, upload, edit, host, share and/or publish content. You acknowledge and agree that: (a) by using the App and the Services you may be exposed to User Content that you may find offensive or indecent and you do so at your own risk; (b) you are solely responsible for, and KODATEL has no responsibility to you or any third party for, any User Content that you create, submit, post or publish on or through the App or the Services; (c) KODATEL does not guarantee any confidentiality with respect to User Content, whether or not it is published; and (d) KODATEL is not responsible for any User Content that you may have access to through your use of the App or Services and all User Content is the responsibility of the person from whom such User

Content originated. User Content does not necessarily represent the views or opinions of Kodate Communications Corp, and KODATEL makes no guarantees as to the validity, accuracy or legal status of any User Content. KODATEL does not endorse any User Content or any opinion, recommendation, or advice expressed therein, and expressly disclaims any and all liability in connection with User Content. In connection with your User Content, you affirm, represent, and/or warrant that: (x) you own or have the necessary licenses, rights, consents, and permissions to use, and hereby authorize KODATEL to use, all patent, trademark, trade secret, copyright or other proprietary rights in and to your User; and (y) you have the written consent, release, and/or permission of each identifiable individual person referenced in your User Content to use their name and likeness in your User Content. By submitting User Content to us, you hereby grant us a worldwide, non-exclusive, royalty-free, sub licensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the App, Services and our business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels. By using the App, you grant KodaTel Communications Corp an intellectual property license to use the content of communications to provide the Services, for example to transmit your communication to the intended recipient. You further agree that you and your User Content will not violate any of the restrictions listed in Section 5.2 below. KODATEL reserves the right to review User Content submitted on or through the App for the purpose of enforcing this License.

  1. Use of App

    1. License. The App is licensed, not sold, to you for use only under this License. Subject to your compliance with this License, you are granted a limited, non-exclusive, non-sub licensable, non-transferable license to download, install and personally use the App on a mobile device that you own or control (a “Device”). This license does not allow you to use the App on any mobile device that you do not own or control, and you may not distribute or make the App available over a network. If you have the App on multiple Devices, you can only access our platform from one such Device at a time. The terms of this license will govern any upgrades, improvements, modifications, fixes, updates and future versions provided by us unless accompanied by a separate license. KODATEL reserves all rights not expressly granted to you. Not all of the features of version 1.0 or higher of the App are backwards compatible with previous versions of the App. In order to use certain features of the App you must have version 1.0 or higher of the App.

    1. Restrictions. You agree that the App is for your personal use with your Devices only. You agree not to:

  1. rent, lease, lend, sell, sublicense, export, distribute or transfer the App to any third party;

  1. copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the App or any part thereof;

  1. remove, obscure or alter any copyright notices or other proprietary notices included in the App;

  1. use the App or the Services in violation of this License, the applicable Service Terms, or applicable law;

  1. use the App or the Services other than for personal, non-commercial use;

  1. use the App or the Services to send any unsolicited communications or any communication not permitted by applicable law;

  1. use any type of spider, virus, worm, trojan-horse, time bomb or any other codes or instructions that are designed to distort, delete, damage, emulate or disassemble the App or the Services;

  1. use the App or Services to cause or intend to cause embarrassment or distress to, or to threaten, harass or invade the privacy of, any third party;

  1. use the App or the Services to submit or expose any third party to any material that infringes any third party’s intellectual property rights or violates the rights of any third party, or is offensive, defamatory, racist, pornographic, illegal, harmful to minors, indecent or is otherwise objectionable in KODATEL’s sole discretion;

  1. use the App or the Services in any way that (i) could damage, disable or overburden any KodaTel Communications Corp server or facility, or the networks connected to any KodaTel Communications Corp server or facility, (ii) interferes with any other party’s use and enjoyment of the App or Services, or (iii) could damage KODATEL’s business, reputation or employees;

  1. use the App or Services fraudulently, abuse the App or Services or unfairly exploit or misuse any of our policies;

  1. intercept or monitor, damage or modify any communication which is not intended for you;

  1. use the App or the Services to collect or harvest any personally identifiable information, including account names; or

  1. use the App or the Services to provide commercial products or services to third parties (the foregoing shall not preclude you using the App and the Services for your own business communications subject to this License).

    1. Termination of License. The license is effective until terminated by KODATEL or you. We will terminate your rights under this license without notice if you fail to comply with this License

or the applicable Service Terms. Upon termination of the license, you shall cease all use of the App and any Services through the App. You may terminate your relationship with KODATEL at any time and without recourse to the courts by requesting closure of your Account, ceasing to use the App and the Services and cancelling any recurring payments.

    1. Updates. KODATEL may automatically check your version of the App and may update the App, but has no obligation to do so. We may alert you that updates to the App are available and you may be required to update or upgrade your version of the App (or install a new version) and/or enter into an updated version of this License to be able to use the App and the Services through the App or otherwise take advantage of any features or updates to the App. Updates may be required to maintain software compatibility, provide security updates or bug fixes, or offer new features, functionality or versions.

    1. Suspension and Maintenance. From time to time, KODATEL may need to perform maintenance on or upgrade the App, the Services or the underlying infrastructure that enables you to use the App and the Services. This may require KODATEL to temporarily suspend or limit your use of some or all of the App or Services until such time as this maintenance and/or upgrade can be completed. You will not be entitled to claim damages for such suspension or limitation of use.

    1. Use of the Services. KODATEL grants you a non-exclusive, non-transferable right to use the Services through the App subject to availability and your compliance with this License and the applicable Service Terms. We make no representation that any of the Services are available for use in any particular location. To the extent you choose to access a Service, you do so at your own initiative and are responsible for compliance with any applicable laws. We reserve the right to change, suspend, remove, or disable access to any Service at any time without notice in accordance with applicable law. In no event will we be liable for the removal or disabling of access to any Service. We may also impose limits on the use of or access to any Service without notice or liability. Your use of the Services is subject to our Reasonable Use Policy, which can be found at the applicable Service Terms link listed in Section 2.3 above.

    1. Your Devices. You are responsible for all actions that take place with your Devices as a result of access to or use of the App whether the access was made by you or by a third party using your Device. If your Device is stolen or if you become aware of unauthorized use of any Service through the App you must notify us immediately to suspend the Service. You are responsible for all usage of the Services and charges until the Service is suspended. You are responsible for preventing the unauthorized use of the App and Services from your Devices, and you are responsible for any authorized or unauthorized use thereof.

    1. Intellectual Property. KodaTel Communications Corp name and associated logos, the software and technology underlying the KodaTel Communications Corp platform, and all registered or unregistered trademarks, service marks, logos, patents, patent applications, proprietary information, registered or unregistered copyrights and all other rights related to

intangible property which are used, developed, comprising, embodied in, or practiced in connection with the App, the Services, the KODATEL platform and the products or services now or hereafter owned, created or provided by KODATEL (collectively, the “KODATEL IP”), are owned, controlled or licensed by KodaTel Communications Corp. Unless otherwise noted, the App and all materials in the App, including text, images, illustrations, designs, icons, photographs, video clips and other materials, and the copyrights, trademarks, trade dress and/or other intellectual property in such materials (collectively, the “App Contents”), are owned, controlled or licensed by KODATEL or its affiliates. You have no rights in or to the KODATEL IP or the App Content and you may not use the KODATEL IP or the App Content in any manner without the prior written consent of KODATEL. You may not reproduce, publish, transmit, distribute, display, modify, create derivative works from, sell or exploit in any way any of the KODATEL IP or the App Content. The KODATEL IP and the App Content are intended to promote KODATEL’s products and services available.

    1. Patents. The App, the systems and methods that it accesses, and/or the related services provided by KODATEL are covered by one or more patents or patents pending, including, without limitation. All right, title and interest (including but not limited to copyright, patent, trade secret, service mark and all other intellectual property and proprietary rights worldwide) in and to the App (including but not limited to any hardware, software, computer code, graphics, images, photographs, animations, sounds, video, audio, music, multimedia, and text incorporated into the App software and documentation), and any other component of the App or documentation, are owned or licensed by KODATEL or its affiliates and are covered by various worldwide patents and patent applications that are the legal property of KODATEL or its affiliates.

    1. Lawful Use; Country Restrictions. In some countries there are restrictions on the use of the App and/or certain Services. It is your responsibility to ensure that you are legally allowed to use the App and the Services and you hereby agree to use the App and the Services in accordance with all applicable laws. You may not export the App except as authorized by United States law. KODATEL makes no representation that the App, certain features of the App and/or the Services are appropriate, legal or available for use in your country. Accessing the App or the Services from any country not covered by Service Terms is prohibited. Those who choose to access the App and the Services from other locations do so on their own initiative and are responsible for compliance with all applicable laws. You cannot use or access the App or the Services if you are not: (a) lawfully entitled to use the App and Services in the country in which you may be located or in which you may reside at the time of your use, or (b) capable of forming a binding legal agreement with KODATEL.

    1. SDK Licenses. The App uses various third party software and software development kits (collectively, “SDKs”). By downloading and using the App you agree to the terms of the SDKs. Each SDK is subject to copyright and other intellectual property rights of the owner of the SDK, all of which rights are reserved by the owner. EACH SDK IS PROVIDED BY ITS COPYRIGHT HOLDER(S) AND CONTRIBUTOR(S) "AS IS" AND ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF

MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED. IN NO EVENT SHALL THE COPYRIGHT HOLDERS OR CONTRIBUTORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THE APPLICABLE SDK, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

  1. General Provisions

    1. No Warranties. The App and the Services and all information, content and material included in or made available to you through the App are provided by KODATEL “AS IS” and “AS AVAILABLE” with no warranties of any kind. You expressly agree that your use of the App and the Services through the App is at your sole risk. KODATEL does not make any warranties, claims or representations to you or to any third party, whether express, implied or statutory, regarding the App (or any content therein), the Services, the telecommunication services underlying the Services or any KODATEL product associated with the Services, including, without limitation, warranties or conditions of quality, performance, suitability, durability, title, non-infringement, merchantability, completeness of fitness for use for a particular purpose. All such warranties are hereby expressly excluded and disclaimed and you hereby waive and release KODATEL from all such warranties of any nature. Without limiting the foregoing, KODATEL makes no warranty or representation that the App or the Services will always be available, accessible, uninterrupted, timely, secure, accurate, complete or error free or free of viruses or other harmful components or that any defects will be corrected. KODATEL does not warrant any quality of communications made through the App. KODATEL may choose not to provide the App or particular Services in/to countries or calling areas at its sole discretion. KODATEL does not provide the connection from your Device to our network. We do not authorize anyone, including but not limited to KODATEL agents and employees, to make any warranties on our behalf and you should not rely on any such statements. Because some jurisdictions do not permit the exclusion of certain warranties, these exclusions may not apply to you. For the purposes of this paragraph, “KODATEL” includes our parent companies, subsidiary companies and affiliated legal entities and all their directors, officers, agents, licensors and employees. This provision will continue to remain in force after this License expires or is terminated.

    1. Indemnification. You agree to indemnify, release and hold KODATEL harmless from any and all liability, losses, damages or claims of any kind resulting from or arising out of your (a) use of the App or the Services through the App other than as a result of our gross negligence,

(b) breach of this License, or (c) violation of another person’s or entity’s rights. In addition, you agree that KODATEL shall not be responsible for any third party claims against you that arise from your use of the App and you agree to reimburse KODATEL for all costs and expenses

related to the defense of any such claims, including reasonable attorneys’ fees, unless such claims are based upon our willful misconduct or gross negligence. This section will survive the expiration or termination of this License. New Jersey consumers and prospective consumers: this section may be void, unenforceable or inapplicable to you. For the purposes of this paragraph, “KODATEL” includes our parent companies, subsidiary companies and affiliated legal entities and all their directors, officers, agents, licensors and employees.

    1. Limitations of Liability. KODATEL is not liable to you or to any third party for any costs, liabilities or damages arising either directly or indirectly from any cause, action or claim relating to the App, the Services or the telecommunication services underlying the Services, including without limitation any personal injury, actual, incidental, consequential, exemplary, punitive, reliance or special damages, or for any claims for loss of revenue, lost profits, lost use, data, or goodwill or for lost business opportunities of any kind or nature whatsoever. These limitations apply even if the damages were foreseeable or we were told that they were possible, and these limitations apply whether the claim is based upon contract, tort, statute, fraud, misrepresentation, or any other legal or equitable theory. KODATEL is not liable for failures, outages, interruptions, equipment failures or acts or omissions of third parties regarding or related to the App or Services. KODATEL will not be liable for any damages if the telecommunication services underlying the Services are interrupted, or if there is a problem with the interconnection of the App or the Services with the service, products or equipment of some other party. This section will survive the expiration or termination of this License. Because some jurisdictions do not permit these exclusions or limitations, KODATEL’s liability in such jurisdictions shall be limited to the extent permitted by law. New Jersey consumers and prospective consumers: this section may be void, unenforceable or inapplicable to you. For the purposes of this paragraph, “KODATEL” includes our parent companies, subsidiary companies and affiliated legal entities, and all their directors, officers, agents, licensors and employees. Notwithstanding anything in this License to the contrary and should any provision of this License limiting KODATEL’s liability not be enforced, KODATEL’s total liability to you in connection with this License shall not exceed in the aggregate the amount paid by you for the Services in the 12 month period immediately prior to the date of the event giving rise to the claim, subject to a maximum of $1,000.00 in all cases.

    1. Third Party Products. From time to time, KODATEL may distribute through the App certain products and services, including IMTU and DMTU (collectively, “Third Party Services”) that are provided by third party companies, issuers and operators in various countries who are not affiliated with KODATEL (collectively, “Third Party Operators”). KODATEL distributes the Third Party Services. The underlying terms of use, charges, fees, taxes, credits and expiration policies for the Third Party Services are established and provided by the Third Party Operators. KODATEL shall not be liable for the acts or omissions of the Third Party Operators. KODATEL will not be liable for any disruption, delay or other omissions in the telecommunication and other services underlying the Third Party Services. All purchases of Third Party Services through the App are final and may not be exchanged, canceled or refunded, except as required by applicable law or by the applicable Third Party Operator.

    1. Electronic Communications. Unless otherwise required by applicable law, you authorize KODATEL to send or provide the following categories of information (“Communications”) by electronic means and not in paper format: (a) this License and any amendments, modifications or supplements to it; (b) your purchase and use records regarding Service transactions; (c) any initial, periodic or other disclosures or notices provided in connection with the App or Services, including those required by applicable law; (d) any customer service communications; and (e) any other communication related to the App, the Services, a transaction or KODATEL. Electronic means may include email, SMS/MMS, in-App messages including push notifications, text, website chat with customer service, or posting in the App. Message and data rates may apply when you receive SMS/MMS, text or push notification messages on your mobile phone. You may withdraw your consent to receive all Communications electronically (except for in-App messages from KODATEL) at any time. In order to withdraw your consent, you can change the settings in the App or contact us. In order to access and retain Communications, you must have:

(i) an Internet browser that supports 128-bit encryption, (ii) a mobile number and the capability to receive messages from or on behalf of KODATEL, and (iii) a device and data or Internet connection capable of supporting the foregoing.

    1. Consent to Receive Messages. Subject to your applicable Service Terms and App feature set, you consent to receive SMS/MMS, in-App messages including push notifications, text and/or email messages from KODATEL and its affiliates regarding account management activities and special offers. This consent is specific to the phone number(s) you provide to us to use the Services and open accounts. Message and data rates may apply when you receive SMS/MMS, text or push notification messages on your mobile phone. You may refuse to consent to receive calls and texts from KODATEL and its affiliates that require your consent, including autodialed, pre-recorded or artificial voice telemarketing calls. You may also withdraw your previously given consent to receive such calls and texts. Your ability to manage and use certain features of the Services could be limited if you refuse or withdraw your consent to receive these messages.

    1. Acts Beyond Our Control. KODATEL will not liable or responsible for any failure in performance, loss or damage that it is due to any event beyond our reasonable control, including without limitation, fire, explosion, power blackout, earthquake, volcanic action, flood, the weather elements, strike, embargo, labor disputes, civil or military authority, war, acts of God, acts or omissions of carriers or suppliers and acts of regulatory or governmental agencies.

    1. Assignment. This License is personal to you and you may not assign or transfer it or your rights or obligations to any other person without KODATEL’s prior consent. We can assign all or part of our rights or duties under this License without prior notice. If we elect to make such an assignment, we will have no further obligations to you under this License or in connection with your use of the App.

    2. Notices. Any notice from KODATEL to you under this License will be provided by one or more of the following: posting in the App, a recorded IVR announcement while using a Service, SMS/MMS, in-App message including push notification, text, email or a call to a telephone number provided by you. You may contact KODATEL at the address and/or phone number provided in Service Terms applicable to you.

    1. Governing Law. This License will be governed by the laws of the State of New Jersey, United States, without regard to its choice of law rules. These governing law provisions apply no matter where you reside, or where you use the App or use or pay for the Services.

    1. Entire Agreement. This License constitutes the entire agreement between you and KODATEL regarding the App and supersedes all prior agreements, understandings, statements or proposals, and representations, whether written or oral between you and KODATEL regarding the same. No written or oral statement, advertisement or service or product description not expressly contained in this License or in the App will be allowed to contradict, explain, or supplement these terms. You acknowledge that you are not relying on any representations or statements made by KODATEL that are not included in these terms. If any part of this License is found invalid, the rest of this License will remain valid and enforceable. The failure by KODATEL to exercise, or delay in exercising, a legal right or remedy provided by this License or by law shall not constitute a waiver of KODATEL’s right or remedy. If KODATEL waives a breach of these terms by you, the waiver shall not operate as a waiver of a subsequent breach of these terms by you.

    1. Disputes; Arbitration. Both you and KODATEL agree to waive our rights to sue in court and have disputes resolved in court by a judge or jury. Instead, each party agrees to first contact the other party with any dispute and to provide a written description of the problem and any proposed resolutions. If we can’t resolve the dispute, then either party can submit the dispute to arbitration. You and KODATEL agree to resolve disputes by arbitration, including any dispute as to the interpretation or application of this Section. Arbitration is a means of having an independent third party resolve a dispute. The rules of arbitration are different from the rules of a court. In an arbitration there is no judge or jury, but the arbitrator can award the same damages and relief and must honor the same limitations stated in this License as a court would. The term dispute shall mean any claim or controversy of any nature arising out of or in any way related to this License, the App and/or the Services, including but not limited to federal or state contract, tort, statutory, regulatory, common law and equitable claims. Either you or KODATEL can request at any time that a dispute be submitted to arbitration. The arbitration will be conducted by the American Arbitration Association (“AAA”) under its rules, including the AAA’s Consumer Arbitration Rules, as such rules are modified by this User Agreement. The AAA’s rules are available at www.adr.org or by calling +1-587-778-9095. You may choose to have the arbitration conducted by telephone, based solely on written submissions, or in person in Edmonton Canada or any other mutually agreed location. KODATEL shall pay all of the AAA filing, administration and arbitrator fees up to $25,000. Thereafter, KODATEL and you will divide equally all such fees and expenses of the arbitration. KODATEL shall not pay your travel

expenses or your costs in preparing and presenting your case, including your legal fees. The decision of the arbitrator shall be final and may be entered and enforced in any court of competent jurisdiction. We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. You agree to waive your right to consolidate your dispute with the disputes or claims of other consumers or customers. You agree to waive your right to bring a dispute as a class action or as a private attorney general, and you agree to waive your right to act as a class representative or participate as a member of a class of claimants with respect to any dispute. Notwithstanding the foregoing, we both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights. You can opt out of the provisions of this Section by sending a letter via overnight mail to KodaTel Communications Corp Legal Department, indicating your desire to opt out of this Section. If for any reason a dispute proceeds in court rather than in arbitration we each waive any right to a jury trial.

    1. Changes to Terms. KODATEL may in our sole discretion update, revise or change this License or the information in the App from time to time with or without prior notice. When material changes are made we will post them in the App and update this License. The App will be updated on or before the effective date of the change, unless an immediate change is necessary for a legitimate business reason, or to maintain the security of the system or unless a law, rule or regulation requires that it be updated an earlier time. Please review this License and the applicable Service Terms referenced in Section 2.3. By continuing to use the App or any Service through the App after publication of a change, you agree to the change. If you do not agree to the change you may terminate your relationship with KodaTel Communications Corp as provided in Section 5.3.

    1. Translation. For your convenience, KodaTel Communications Corp may provide you with a translation of the English language version of some or all of the various parts of this License. However, the meanings of terms, conditions and representations herein are subject to definitions and interpretations in the English language. If there is any inconsistency between a non-English version and the English version, then the English version shall govern your relationship with KodaTel Communications Corp. Any translation provided may not accurately represent the information in the original English version.
